A California licensed attorney with over ten years of legal experience, both as in-house counsel/corporate management and outside litigation/transactional counsel.

Five years of extensive litigation experience including all aspects of business/contract litigation, trademark disputes, bankruptcy litigation, appellate practice, environmental disputes, administrative law matters, labor law litigation, real estate disputes, collections and municipal/constitutional law. Drafted complaints and other pleadings, performed legal research, prepared and responded to discovery, engaged in law and motion practice, and attended depositions, hearings and trials. Successfully represented companies at administrative hearings, including South Coast Air Quality Management District (SCAQMD) variance hearings and California Labor Board hearings.

Transactional experience includes contract drafting, review and negotiation, including acting as borrower’s counsel for commercial loans and refinancing; assisted clients with corporate formation, corporate governance and compliance, and managing corporate records. Advised clients and companies regarding regulatory compliance issues, environmental compliance, and human resources/employment law issues. Worked cooperatively with Franchise Tax Board to obtain revivor of suspended corporations.

Prior to becoming an attorney, experience included 14 years of broad-based management, insurance (worker’s comp), science, engineering, regulatory compliance, human resources, and accounting. Conducted corporate regulatory compliance audits, working with both management and outside counsel. Managed bookkeeping/accounting department, including accounts payable, accounts receivables and collections. Prepared and implemented departmental budgets. Performed accounting audits of companies’ payroll systems to determine proper accounting and compliance with workers’ compensation reporting requirements. Prepared environmental compliance reports, permit applications, regulatory compliance audit reports, and tax reports, requiring extensive knowledge of chemistry, engineering, and accounting principles.

Researched and prepared briefings for senior management and boards of directors on the operational impact of regulations. Performed broad-based regulatory compliance audits of factories, RCRA audits of hazardous waste sites and DOT audits of hazardous waste transporters. Directly interfaced with officials at various levels of government, including the U.S. EPA, Cal/EPA, Cal/OSHA, SCAQMD and numerous other State, County, and local agencies.
